Terms of Service
These terms are an agreement between you and Tender (“Tender”, “we”, “us”) for using https://tendercfoa.com and the Tender app (the “Service”). By creating an account or using the Service, you agree to these terms and to our Privacy Policy. If you don't agree, please don't use the Service.
1. Who can use Tender
- Tender is for finance leaders. You must be at least 18, give accurate information when you apply, and pass verification. We decide who is admitted, and membership may be limited.
- One account per person. Keep your sign-in details secure, and tell us straight away if you think someone else has used your account. You are responsible for activity on your account.
- Academic observers get read-only access to material we choose to publish for them. They may use it only for teaching and research, and must not try to identify anyone in it.
2. Anonymity is a shared promise
Tender only works if members can speak candidly. When you use it, you agree:
- not to try to find out who another member is, whether by piecing details together, comparing writing, or any other means, and not to reveal anyone's identity or suspected identity;
- not to share, screenshot or repeat outside Tender anything another member posted in a way that could identify them or their company;
- to keep private the details members share with you through a connection, and to use them only to get in touch about the conversation you connected over.
3. What you may not post
- Material non-public information about any public company, or anything that would breach securities law, insider-trading rules, or a confidentiality agreement or duty you owe (to your employer, clients, board, or anyone else).
- Trade secrets, or details that identify a specific company, client, deal or person, unless you have the right to share them.
- Harassment, threats, discrimination, or anything unlawful, defamatory or deceptive.
- Sales pitches, recruiting, solicitation or spam, including through connection requests.
- Anything that infringes someone else's intellectual property or privacy.
You also agree not to scrape the Service, get around its limits or security, access other people's accounts, or use automated tools to post or send requests.
4. Not professional advice
Answers and summaries on Tender are the personal opinions of other members, or computer-generated summaries of those opinions. They are not legal, tax, accounting, audit, investment or other professional advice. No professional, advisory or fiduciary relationship is formed between you and Tender, or between you and any member. Summaries are produced with AI and may be incomplete or wrong. Make your own judgment, and consult qualified advisers before acting.
5. Your content
You own what you post. You give Tender a worldwide, non-exclusive, royalty-free license to host, store, display and share it with members and observers as the Service is designed to; to summarize it (including with AI providers acting for us); and to keep closed questions, their answers and summaries in the Ledger. The license continues after you leave, for content that stays in the Ledger without your name or handle. You confirm you have the right to post what you post.
6. Showing your name, and connecting with members
- Everything you post is anonymous unless you tick “Show my name on this post”. When you do, members see your name, title and company on that post until you remove it.
- Connections need both people to agree. When a request is accepted, both members see each other's name, title, company and email. That may let each of you work out which posts are the other's.
- You're responsible for any calls or relationships that come out of a connection. Tender isn't a party to them. Don't record a call without everyone's consent.
7. Calendar connections and other services
If you connect Google Calendar or Outlook, you authorize Tender to read your busy times and to add or cancel the calls you book through Tender, as described in the Privacy Policy. You can disconnect at any time. Using Google or Microsoft services is also subject to those providers' terms. We aren't responsible for third-party services.
8. Moderation, suspension and ending your account
We may review reports, remove content, and restrict, suspend or close accounts that break these terms or put the community at risk. You can close your account at any time from Settings. Sections 4, 5, 9, 10, 11 and 13 continue to apply after your account ends.
9. The Service is in beta
Tender is in private beta. Features may change, pause or stop, and there may be errors or downtime. We may change or end any part of the Service, and will try to give reasonable notice of significant changes.
10. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. We don't warrant that the Service will be uninterrupted, secure or error-free, or that any content is accurate or reliable.
11. Limitation of liability
To the fullest extent the law allows, Tender and its operators, partners and suppliers are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Service or any content on it. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or US$100. Some jurisdictions don't allow these limits, so some of them may not apply to you.
12. Indemnity
You agree to defend and indemnify Tender and its operators against claims, losses and costs (including reasonable legal fees) arising from your content, your breach of these terms, or your violation of any law or anyone else's rights.
13. General
If we change these terms in a material way, we'll update the date above and tell members in the app or by email before the change applies. Continuing to use the Service after that means you accept the new terms. If any part of these terms is unenforceable, the rest still applies. These terms, together with the Privacy Policy, are the whole agreement between you and Tender about the Service. You may not transfer your account or these terms. We may transfer them as part of a reorganization, merger or sale.
